3. Contract Formation (No Signature Needed)

These terms become binding when you instruct us to start work, approve a quote/proposal, pay an invoice/deposit, provide access credentials, or otherwise permit work to begin.

4. Scope of Services (Anti “Scope Creep”)

The scope is only what is written in the quote/proposal/invoice. Anything not explicitly included is excluded. Change requests are billable and may require revised timelines/fees.

5. SEO & Google Business Profile (No Guarantees)

We do not guarantee rankings, traffic, leads, conversions, revenue, map-pack placement, review outcomes, verification or reinstatement. Search engines and platforms change frequently and decisions are outside our control.

6. Client Responsibilities

You will provide timely access, accurate information, and approvals. You are responsible for the legality and accuracy of content and claims you approve.

7. Review Window & Deemed Acceptance

You have 7 calendar days to request corrections within scope after delivery of review deliverables. If you do not respond within that window, deliverables may be deemed accepted.

8. Website Build Services (Design/Build/Revisions/Launch)

8.1 Build Scope

Website builds include only what is stated in your scope (pages/features/functions). Anything not explicitly included is excluded.

8.2 Content & Assets

You supply content/assets unless agreed otherwise. You warrant you own or have rights to any assets provided.

8.3 Revisions

Your quote includes [X] revision rounds (or as stated). Additional revisions and changes after approval are billable.

8.4 Compatibility & Testing

We aim for compatibility with modern mainstream browsers/devices; we do not guarantee flawless operation on all devices/legacy systems.

8.5 Go‑Live & Acceptance

You are responsible for final review/approval before launch. Post‑launch changes are billable unless correcting a defect directly caused by us and reported within the review period.

9. Hosting Services (If You Host With Us)

9.1 What Hosting Includes

Hosting includes only what is described in your plan/scope. Email hosting is excluded unless explicitly included.

9.2 Uptime & Maintenance Windows

No service can guarantee 100% uptime; outages and maintenance windows may occur. We may perform maintenance and, where practical, will provide notice.

9.3 Backups & Restores

If backups are included, frequency/retention are as stated. Restores are reasonable-efforts and may be billable depending on plan and cause.

9.4 Security

No website is guaranteed 100% secure. If you decline recommended security measures, you accept increased risk to the extent permitted by law.

9.5 Resource Limits / Acceptable Use

We may throttle or suspend hosting where your site causes excessive usage or breaches acceptable use (e.g., malware distribution, spam, unlawful content).

10. Maintenance Plans

Maintenance covers only what is listed in your plan (updates, small edits, monitoring as stated). Updates can occasionally cause conflicts; resolving conflicts may be billable unless included.

11. Social Media Services (Posting, Changes, Management)

11.1 Scope

Social media services include only what is stated in your quote/proposal/invoice (e.g., posting, scheduling, profile changes, basic engagement, reporting). Anything else is out of scope and billable.

11.2 Client Content Responsibility

You are responsible for the legality, accuracy, and substantiation of any claims in content you approve or provide (including pricing, regulated statements, promotions and competitions).

11.3 Approvals

Unless agreed otherwise, you must approve content before posting. If you do not respond within [48 hours / 2 business days] (optional), content may be treated as approved according to the agreed content calendar.

11.4 Platform Policies & No Guarantees

Platforms may restrict reach, remove posts, restrict features or suspend accounts. We do not guarantee reach, engagement, follower growth, leads, sales, verification or reinstatement.

11.5 Access & Permissions

You must provide appropriate access (e.g., Meta Business Manager/page roles). We are not responsible for access issues caused by insufficient permissions, third‑party administrators, or platform enforcement.

11.6 Messages, Comments & Moderation

Unless explicitly included, we do not provide 24/7 moderation, crisis management or customer support. If included, moderation is limited to the stated scope and hours.

11.7 Ads & Spend

Ad spend is your responsibility unless included. We are not responsible for platform billing errors, ad disapprovals, account restrictions or outcomes.

11.8 Third‑Party Tools

If we use scheduling/analytics tools, those are third‑party services and we are not liable for outages, errors, data loss or feature changes in those tools.

11.9 Intellectual Property

You warrant you own or have rights to any assets you supply (images, video, music, fonts). You remain responsible for claims arising from materials you provide or instruct us to use.

12. Third‑Party Services

Third‑party services are outside our control (Google, payment providers, plugins, themes, registrars, email platforms, analytics tools). Third‑party fees are your responsibility unless included.

13. Fees, Payment, Suspension, No Set‑Off

Invoices are due within 7 days unless stated. You must pay invoices in full without set‑off. We may suspend services for overdue invoices and timelines will extend.

14. Refunds & Deposits

Deposits are non‑refundable once work is scheduled or started (except where required by law). No refunds are due for work performed, time spent, or costs incurred at your instruction.

15. Cancelling Hosting/Maintenance

You may cancel hosting/maintenance with 30 days’ written notice (or as stated in your plan). Cancellation stops renewal for the next billing period; it does not cancel fees already incurred.

16. Chargebacks

Contact us and allow 14 days to investigate before initiating a chargeback. We may suspend services until payment is resolved. Unpaid fees and reasonable admin costs remain payable to the extent permitted by law.

17. Consumer Clients — Right to Cancel (Cooling‑Off)

Consumers only: if you buy at a distance (online/phone) you may have a 14‑day right to cancel. If you request we start work within the cancellation period, you may have to pay for work performed up to cancellation and may lose the right to cancel once the service is fully performed with your consent/acknowledgement where applicable.

18. Data Protection

Where we process personal data on your behalf, both parties will comply with UK data protection law. Where required, a Data Processing Addendum (DPA) can be provided.

19. Limitation of Liability

Nothing excludes liability that cannot legally be excluded (including death/personal injury caused by negligence or fraud). Subject to that, our total aggregate liability is limited to the lower of £100,000 or the fees you paid in the 12 months before the claim. We are not liable for indirect/consequential losses (loss of profit, revenue, goodwill, data, business interruption).

20. Disputes & Remedies

Notify us in writing within 30 days of becoming aware of any issue and allow a reasonable opportunity to remedy.

21. Governing Law

These terms are governed by the laws of England & Wales and the courts of England & Wales have exclusive jurisdiction.
